THIS TERMS OF USE AGREEMENT (the “Agreement”) establishes a legally binding contract between Rur Web Solutions, LLC, a limited liability company organized under the laws of the state of Georgia (“Rur Web Solutions”) and the client, whether acting individually or on behalf of an entity (“Client”). This Agreement governs the access and use of Rur Web Solutions’ website: [insert your website URL] (the “Website”) and all related media formats, channels, mobile websites, or mobile applications. Non-compliance with all terms, conditions, and obligations herein will prohibit the Client’s use of the Website, necessitating immediate cessation of such use. Following this, all interactions between Client and Rur Web Solutions shall terminate, except for any ongoing Client obligations to compensate Rur Web Solutions for services provided.
1. Intellectual Property Rights
The Website, including its source code, databases, functionality, software, designs, audio, video, text, images, and graphics (collectively, the “Content”), and all trademarks, service marks, and logos (the “Marks”) are the exclusive property of Rur Web Solutions, protected by copyright, trademark, and other intellectual property laws. The Content and Marks are provided solely for personal, non-commercial use. Any reproduction, distribution, or other exploitation of the Website or Content for commercial purposes is prohibited without prior written consent from Rur Web Solutions, who retains all rights in the Website, Content, and Marks.
2. Ownership of Materials
While Rur Web Solutions owns the Website's Submissions, as outlined in Paragraph 4 (“Client Feedback”), all designs and original source files created for the Client (“Projects”) are the Client’s property. If legal circumstances result in Rur Web Solutions owning any Project, it will permanently assign its interests in the Project to the Client. The Client guarantees that all materials supplied to Rur Web Solutions are owned by the Client and do not infringe on third-party rights. Rur Web Solutions reserves the right to publicly share the Client's work, unless otherwise stated in section 18 of this document.
3. Third-Party Resources
If a Project uses resources (like fonts) not owned by Rur Web Solutions and requiring commercial licenses, Rur Web Solutions will inform the Client in writing. The Client is responsible for acquiring these licenses. Failure to do so is the Client’s responsibility.
4. User Representations
By using the Website, the Client confirms legal capacity to adhere to these Terms of Use; asserts they are not a minor; will not automate access to the Website; will use the Website lawfully; and will comply with all relevant laws.
5. Prohibited Activities
The Client is prohibited from unauthorized Website use; creating or compiling databases; bypassing security features; unauthorized framing or linking; deceiving Rur Web Solutions or users; disrupting the Website or Rur Web Solutions’ networks; competing with Rur Web Solutions; reverse engineering Website software; bypassing access restrictions; harassing Rur Web Solutions staff; removing copyright notices; uploading harmful content; or using the Website in ways violating laws.
6. Client Feedback
Client feedback or submissions become Rur Web Solutions’ property, with the Client waiving claims against Rur Web Solutions for using such submissions.
7. Management and Oversight
Rur Web Solutions may monitor the Website for violations and take legal action or restrict access at its discretion.
8. Privacy Policy
The Client’s use of the Website implies agreement with the Privacy Policy, acknowledging data transfer to the U.S. and understanding different regional data laws.
9. Returns and Refunds
Refund eligibility is at Rur Web Solutions' discretion. If granted, a 25% fee applies.
10. Modification
Rur Web Solutions may modify the Website at any time without notice.
11. Connection Interruptions
Rur Web Solutions is not liable for Website access issues beyond its control.
12. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Georgia without regard to conflict of law principles.
13. Litigation
Any legal action of whatever nature shall be brought in the state courts of [specific county in Georgia], Georgia or in the United States District Court for the District of Georgia. The parties consent to personal jurisdiction in these courts and waive defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction.
14. Disclaimer
Rur Web Solutions provides the Website “as-is” without warranties and is not liable for its content or external links.
15. Limitations of Liability and Indemnification
Rur Web Solutions is not liable for damages from Website use. The Client will defend and indemnify Rur Web Solutions against third-party claims.
16. User Data
Rur Web Solutions is not responsible for data loss or corruption related to Website use. Client is solely responsible for all data transmitted to or that relates to any activity Client has undertaken using the Website.
17. Electronic Communications, Transactions, and Signatures
Client consents to receive electronic communications from Rur Web Solutions and agrees that all agreements, notices, disclosures, and other communications sent via email or through the Website satisfy any legal requirement that such communications be in writing. Client agrees to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by Rur Web Solutions or through the Website.
18. Showcasing Design Work
Rur Web Solutions reserves the right to display design work on digital platforms including social media and its website, unless a non-disclosure agreement (NDA) is established between the Client and Rur Web Solutions, negating this right.
19. Referrals
Referral tracking and payouts are handled through our third-party partner, Rewardful.com.
20. Miscellaneous
These Terms of Use and any policies posted on the Website constitute the entire agreement between the Client and Rur Web Solutions. Rur Web Solutions' failure to enforce any right or provision of these Terms of Use shall not be deemed a waiver of such right or provision. If any provision of these Terms of Use is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms of Use but shall not affect the validity or enforceability of the remaining provisions. Nothing in these Terms of Use, the Privacy Policy, or on the Website shall be construed as forming a joint venture, partnership, employment, or agency relationship between Client and Rur Web Solutions.
